Welcome to Transfonic. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Transfonic ("we," "us," or "our"), the operator of the website located at www.transfonic.com (the "Platform").

By accessing, browsing, or using any part of the Platform — including uploading files, using any conversion or processing tool, or simply visiting the site — you confirm that you have read, understood, and agreed to be legally bound by these Terms in their entirety. If you do not agree to any part of these Terms, you must immediately discontinue your use of the Platform.

These Terms apply to all visitors, users, and any other individuals who access or interact with the Platform in any way. They are in addition to, and not in replacement of, our Privacy Policy, which is incorporated into these Terms by reference.

Transfonic is a browser-based file conversion and processing platform that provides users with access to over 1,000 tools across eight specialized processing engines. The Platform enables users to convert, compress, edit, transform, and manage digital files across a wide range of formats, including documents, images, audio, video, and more.

The Platform is designed to operate entirely within a web browser, requiring no software installation, account registration, or subscription for access to its core features. Transfonic processes files in isolated, ephemeral server sessions and permanently deletes all uploaded content immediately following the completion of each processing task.

Transfonic reserves the right to modify, suspend, expand, or discontinue any feature, tool, or section of the Platform at any time, with or without notice, and without liability to you. We will make reasonable efforts to communicate significant changes where practicable.

Platform Availability

While we strive for maximum uptime and reliability, we do not guarantee that the Platform will be available at all times. The Platform may be temporarily unavailable due to scheduled maintenance, technical issues, third-party service outages, or circumstances beyond our reasonable control. We are not liable for any loss or inconvenience resulting from Platform downtime.

To use the Platform, you must meet the following eligibility requirements. By accessing or using Transfonic, you represent and warrant that:

• You are at least 13 years of age. Users between the ages of 13 and 18 may only use the Platform with the knowledge and consent of a parent or legal guardian.
• You have the legal capacity to enter into a binding agreement and are not prohibited from doing so under the laws of your applicable jurisdiction.
• Your use of the Platform does not violate any applicable local, national, or international law or regulation.
• You are not accessing the Platform from a jurisdiction where its use is prohibited, restricted, or regulated in a manner that would make your access unlawful.
• If you are using the Platform on behalf of a business or organization, you have full authority to bind that entity to these Terms.

We reserve the right to refuse access to the Platform to any person or entity at our sole discretion, including where we reasonably believe that an individual does not meet these eligibility requirements.

Transfonic is provided for lawful, personal, and commercial file processing purposes. You agree to use the Platform only in a manner that is consistent with these Terms, applicable laws, and the reasonable expectations of a legitimate user of a professional file processing service.

Permitted Uses

Subject to your compliance with these Terms, you are permitted to:

• Access and use the Platform's tools for personal, educational, or commercial file conversion and processing tasks.
• Upload files that you own outright or for which you have the necessary rights, licenses, or permissions to process.
• Download the processed output of your files for your own use in accordance with applicable copyright and licensing terms.
• Share the Platform's URL or recommend it to others for their own legitimate use.

General Standards

In all uses of the Platform, you agree to act with integrity and in good faith. You will not attempt to circumvent, exploit, or abuse any aspect of the Platform's functionality, infrastructure, or policies. You acknowledge that misuse of the Platform may result in immediate suspension of your access and, where applicable, referral to relevant legal authorities.

The following activities are strictly prohibited on Transfonic. Violation of any of these prohibitions may result in immediate termination of your access, legal action, and reporting to appropriate authorities.

Content Prohibitions

• Uploading, processing, or distributing content that is illegal under any applicable jurisdiction, including but not limited to material that infringes copyright, constitutes defamation, or violates privacy rights.
• Uploading content that contains, promotes, or facilitates child sexual abuse material (CSAM) or any content that sexualizes minors in any form. Such activity will be immediately reported to relevant law enforcement authorities.
• Uploading files containing malware, viruses, ransomware, spyware, or any other malicious code intended to cause harm to systems, networks, or individuals.
• Uploading or processing content that promotes terrorism, incites violence, or facilitates any form of illegal activity.

Platform Abuse Prohibitions

• Attempting to gain unauthorized access to any part of the Platform, its servers, databases, or related systems or networks.
• Using automated scripts, bots, scrapers, or other automated tools to access, interact with, or extract data from the Platform without our express written consent.
• Deliberately overloading, disrupting, or interfering with the normal operation of the Platform or its underlying infrastructure.
• Attempting to reverse-engineer, decompile, disassemble, or otherwise derive the source code of any component of the Platform.
• Circumventing or attempting to circumvent any technical limitations, rate limits, or access controls implemented on the Platform.
• Impersonating Transfonic, any of its team members, or any other person or entity in connection with your use of the Platform.
• Using the Platform in any manner that could damage, disable, impair, or compromise the Platform's security, integrity, or performance.

Commercial Prohibitions

• Reselling, sublicensing, or commercially exploiting access to the Platform or any of its tools without our express written permission.
• Framing, mirroring, or embedding any part of the Platform on a third-party website without prior written consent from Transfonic.

When you upload a file to Transfonic for processing, you retain all ownership rights in that file and its contents. By uploading a file, you represent and warrant that you have all necessary rights, permissions, and authorizations to upload, process, and download that file using the Platform.

Your Responsibility for Uploaded Content

You are solely responsible for the files you upload to the Platform and for ensuring that your uploads comply with all applicable laws and these Terms. Transfonic does not review, monitor, or analyze the content of files uploaded to the Platform for the purpose of verifying their legality or appropriateness.

• You must own or have the right to process every file you upload. Uploading files that belong to third parties without appropriate authorization is a violation of these Terms and may constitute copyright infringement.
• You must not upload any file containing personal data belonging to third parties without a lawful basis for processing that data in accordance with applicable data protection laws.
• You accept full legal responsibility for any file you upload and any consequences arising from the content of that file.

Limited License to Process

By uploading a file, you grant Transfonic a limited, non-exclusive, temporary license to process that file solely for the purpose of providing the requested conversion or processing service. This license terminates automatically and irrevocably upon the completion of processing and deletion of your file. We do not acquire any other rights in your content.

File Deletion

All uploaded files and processed outputs are automatically and permanently deleted from our servers immediately following the completion of each processing session. We do not retain, archive, or back up any user files. You are responsible for downloading your processed output before the session expires.

The Platform and all of its constituent elements — including but not limited to its design, layout, source code, user interface, graphics, text, logos, trademarks, processing engines, and tool configurations — are the exclusive intellectual property of Transfonic or its licensors, and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

What You May Not Do

• Copy, reproduce, republish, upload, transmit, or distribute any part of the Platform without our express written permission.
• Use the Transfonic name, logo, or branding in any way that implies endorsement, affiliation, or association without written authorization.
• Create derivative works based on any part of the Platform or its underlying technology without our express written consent.
• Remove, alter, or obscure any copyright notice, trademark, or other proprietary notice contained on or within the Platform.

Your Content

You retain full ownership of any files you upload and any processed outputs you download. Transfonic does not claim any ownership interest in user-uploaded content or in the outputs produced through the use of our tools.

Feedback

If you submit ideas, suggestions, feedback, or recommendations regarding the Platform ("Feedback"), you grant Transfonic a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback into the Platform or any other product or service, without any obligation of compensation or attribution to you.

To the fullest extent permitted by applicable law, Transfonic expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• The Platform will be available at all times, uninterrupted, or free from errors, bugs, or technical issues.
• Any output produced by the Platform's processing tools will be accurate, complete, error-free, or suitable for your specific purpose.
• The Platform or its servers are free from viruses, malicious code, or other harmful components — though we take all reasonable precautions to ensure this.
• Any defects or errors in the Platform will be corrected within any particular timeframe.

You use the Platform and rely on any output it produces entirely at your own risk. We strongly recommend that you verify the accuracy and suitability of any processed output before using it in a professional, legal, medical, or other high-stakes context.

To the maximum extent permitted by applicable law, Transfonic and its directors, officers, employees, agents, affiliates, licensors, and service providers shall not be liable to you or any third party for any:

• Indirect, incidental, special, consequential, exemplary, or punitive damages of any kind.
• Loss of profits, revenue, data, goodwill, or business opportunities, whether based on contract, tort, negligence, strict liability, or any other legal theory.
• Loss or corruption of any file or data arising from your use of the Platform, including as a result of any technical error, processing failure, or unexpected output.
• Damages arising from your inability to access or use the Platform, or from any interruption, suspension, or discontinuation of the Platform or any of its features.
• Any unauthorized access to or alteration of your transmissions or data.

These limitations apply even if Transfonic has been advised of the possibility of such damages. In jurisdictions that do not permit the exclusion or limitation of certain damages, our liability is limited to the maximum extent permitted by law.

In no event shall our total aggregate liability to you for all claims arising out of or related to your use of the Platform exceed the greater of (a) the total amount paid by you, if any, to use the Platform in the twelve months preceding the claim, or (b) one hundred United States dollars (USD $100).

You agree to indemnify, defend, and hold harmless Transfonic and its directors, officers, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your access to or use of the Platform in any manner not expressly permitted by these Terms.
• Any file, content, or data you upload, transmit, or process through the Platform.
• Your violation of these Terms, applicable laws, or the rights of any third party, including intellectual property rights.
• Any claim by a third party resulting from your use of the Platform or your uploaded content.

Transfonic reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense.

Transfonic reserves the right, at its sole discretion and without prior notice or liability, to restrict, suspend, or permanently terminate your access to the Platform or any part of it at any time and for any reason, including but not limited to:

• Actual or suspected violation of any provision of these Terms.
• Conduct that we determine, in our sole judgment, is harmful to other users, third parties, or the reputation or integrity of the Platform.
• Uploading content that we determine to be illegal, abusive, or in violation of any applicable law or regulation.
• Any fraudulent, deceptive, or abusive use of the Platform or its tools.

Effect of Termination

Upon termination of your access, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination — including sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall continue to remain in full force and effect following any termination.

Because Transfonic does not require account creation, we do not retain personal profiles or user data that would need to be deleted upon termination. Any files in active processing sessions at the time of termination will be permanently deleted.

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with applicable law, without regard to any choice or conflict of law provisions that would require the application of the laws of a different jurisdiction.

Any legal proceedings arising out of or in connection with these Terms or your use of the Platform shall be brought exclusively in a court of competent jurisdiction. By using the Platform, you irrevocably consent to the personal jurisdiction of such courts for the purpose of any such proceedings.

Dispute Resolution

Before initiating any formal legal proceedings, we encourage you to first contact us directly to attempt to resolve any dispute informally. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Transfonic with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to the Platform.

Transfonic reserves the right to modify or replace these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. It is your responsibility to review these Terms periodically to stay informed of any updates.

Where changes are material — meaning they significantly affect your rights or obligations — we will make reasonable efforts to provide a prominent notice on the Platform prior to the changes taking effect. However, continued use of the Platform following the posting of revised Terms constitutes your acceptance of those changes.
